Terms and Conditions

Thank you for using HubDirect. These terms and conditions (“Terms”) cover the usa and access to our services and Hub.Direct Websites. By using our Services, you're agreeing to be bound by these Terms If you're using our Services for an organization, you're agreeing to these Terms on behalf of that organization.

Content Contributed to the Site by Members

HubDirect is platform for hosting content and managing ‘business to business’ distribution networks.

HubDirect does not endorse or guarantee any content featured on the service. This service features content provided by users, hosted within the service and third party links.

Members joined Hubs which are representative of teams of people or companies. Products contain information provided by owner Hub and links to third party hosted content.

These Hubs are managed by users of the system who then create and share Products. These Products are then shared with other Hubs they are connected to on the platform.

In this Agreement we refer to all of this Content provided by Users as “User Content”.

We do not claim any ownership interest in your User Content, but we do need the right to use your User Content only to the extent necessary to provide the Site and Services to Users, including to display User Content in the manner requested by the User to operate the Site and Services.

In order for us to make the User Content you contribute available on the Site for these purposes, and to operate, market and promote the Service, we need the right to make use of such User Content in accordance with and subject to this Agreement.

Users own all intellectual property in your original content you contribute. You not upload or contribute any Content not originally created by you, or any Content that is not properly licensed to you by someone else for uploading or contributing.

If you contribute User Content to the Site, it is your responsibility to check the Site from time to time to review how we permit User Content to be used. These Terms don't give us any rights to User Content except for the limited rights that enable us to offer the Services.

We need your permission to do things like hosting User Content backing it up, and sharing it when you ask us to. Our Services also provide you with features like photo thumbnails, document previews, commenting, easy sorting, editing, sharing and searching. These and other features may require our systems to access, store and scan User Conten. You give us permission to do those things, and this permission extends to our affiliates and trusted third parties we work with.

Third Party Content

Hubs & Products contain content hosted on third party network.

Links to external, or third party websites, are provided solely for visitors' convenience. Links taken to other sites are done so at your own risk and the HubDirect accepts no liability for any linked sites or their content. When you access an external website, keep in mind that HubDirect has no control over its content.

Any link from us to an external website does not imply or mean that the HubDirect endorses or accepts any responsibility for the content or the use of such website.

HubDirect does not give any representation regarding the quality, safety, suitability, or reliability of any external websites or any of the content or materials contained in them. It is important for users to take necessary precautions, especially to ensure appropriate safety from viruses, worms, Trojan horses and other potentially destructive items.

When visiting external websites, users should review those websites' privacy policies and other terms of use to learn more about, what, why and how they collect and use any personally identifiable information.

Hyperlinks and hypertext links are provided on our website to promote easy access to the variety of information and services provided. We accept no liability arising out of the use of such links, including:

misuse or misunderstanding of these hyperlinks and hypertext links and web site navigational methods
third party interpretation of data or information which is distributed around the web site and reached using hypertext and hyperlinks
third party understanding of or use of the navigational structure of the site or the interpretation of distributed information on the site

Sharing User Content

Our Services let you share User Content with others, so please think carefully about what you share.

We sometimes release products and features that we are still testing and evaluating. Those Services have been marked beta, preview, early access, or evaluation (or with words or phrases with similar meanings) and may not be as reliable as HubDirect's other services, so please keep that in mind.

Restricted Content

Sharing or hosting any private or confidential information.
Sharing or hosting any transactional or financial information or bank details.
Sharing or hosting any illegal content or pornographic content.

Copyright

We respect the intellectual property of others and ask that you do too. We respond to notices of alleged copyright infringement if they comply with the law. We reserve the right to delete or disable content alleged to be infringing and terminate accounts of repeat infringers. Please email [email protected].

Discontinuation of Services

We may decide to discontinue the Services in response to unforeseen circumstances beyond HubDirect’s control or to comply with a legal requirement. If we do so, we'll give you reasonable prior notice so that you can export User Generated Content from our systems.

Services "AS IS"

We strive to provide great Services, but there are certain things that we can't guarantee. TO THE FULLEST EXTENT PERMITTED BY LAW, HUBDIRECT AND ITS AFFILIATES, SUPPLIERS AND DISTRIBUTORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED "AS IS." WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some places don't allow the disclaimers in this paragraph, so they may not apply to you.

Limitation of Liability

WE DON'T EXCLUDE OR LIMIT OUR LIABILITY TO YOU WHERE IT WOULD BE ILLEGAL TO DO SO—THIS INCLUDES ANY LIABILITY FOR HUBDIRECT’S OR ITS AFFILIATES' FRAUD OR FRAUDULENT MISREPRESENTATION IN PROVIDING THE SERVICES. IN COUNTRIES WHERE THE FOLLOWING TYPES OF EXCLUSIONS AREN'T ALLOWED, WE'RE RESPONSIBLE TO YOU ONLY FOR LOSSES AND DAMAGES THAT ARE A REASONABLY FORESEEABLE RESULT OF OUR FAILURE TO USE REASONABLE CARE AND SKILL OR OUR BREACH OF OUR CONTRACT WITH YOU. THIS PARAGRAPH DOESN'T AFFECT CONSUMER RIGHTS THAT CAN'T BE WAIVED OR LIMITED BY ANY CONTRACT OR AGREEMENT.

IN COUNTRIES WHERE EXCLUSIONS OR LIMITATIONS OF LIABILITY ARE ALLOWED, HUBDIRECT, ITS AFFILIATES, SUPPLIERS OR DISTRIBUTORS WON'T BE LIABLE FOR:

ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR
ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, REGARDLESS OF LEGAL THEORY.

THESE EXCLUSIONS OR LIMITATIONS WILL APPLY REGARDLESS OF WHETHER OR NOT HUBDIRECT OR ANY OF ITS AFFILIATES HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES.

IF YOU USE THE SERVICES FOR ANY COMMERCIAL, BUSINESS OR RE-SALE PURPOSE, HUBDIRECT, ITS AFFILIATES, SUPPLIERS OR DISTRIBUTORS WILL HAVE NO LIABILITY TO YOU FOR ANY LOSS OF PROFIT, LOSS OF BUSINESS, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITY. HUBDIRECT AND ITS AFFILIATES AREN'T RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SERVICES.

OTHER THAN FOR THE TYPES OF LIABILITY WE CANNOT LIMIT BY LAW (AS DESCRIBED IN THIS SECTION), WE LIMIT OUR LIABILITY TO YOU TO THE GREATER OF £1 GBP OR 100% OF ANY AMOUNT YOU'VE PAID UNDER YOUR CURRENT ANY SERVICE PLAN.
